Corporate Entities and Important Disclosures Expected Spin Off of Financial Planning and Services Businesses On February 1, 2005, American Express Company announced plans to pursue a spin-off to American Express shareholders of its American Express Financial Advisors unit. In the transaction, American Express shareholders will receive 100% of the common stock of Ameriprise Financial, Inc. (formerly American Express Financial Corporation), the wholly-owned subsidiary that directly and through its subsidiaries and affiliates conducts the financial planning, asset accumulation and income, and protection businesses of American Express. The transaction is expected to be completed on or after September 30, 2005, subject to certain regulatory and other approvals, including final approval by the board of directors of American Express Company.
